Acceptance of Term
S&C Electric Company (“S&C”) makes available for your use on this Website (the “Site”) information, documents, software, and products (collectively, the “Materials”) and various services operated by S&C (collectively, the “Services”), subject to the terms and conditions set forth in this document (the “Terms of Use”). By accessing or using this Site, including your access to or use of any of the Materials and Services, you agree to the Terms of Use, which constitute an agreement between you and S&C.
S&C reserves the right to change the Terms of Use from time to time at its sole discretion and without prior notice. Your use of the Site will be subject to the most current version of the Terms of Use posted on the Site at the time of such use. In addition, when using Services or Materials on this Site, you shall be subject to any posted guidelines or rules applicable to such Services or Materials that may contain terms and conditions in addition to those in the Terms of Use (“Additional Terms”). All such guidelines or rules are incorporated by reference into the Terms of Use. If you breach any of the Terms of Use, your authorization to use this Site automatically terminates, and you must immediately destroy any Materials downloaded or printed from the Site.

S&C will fully enforce its intellectual property rights of the law. You acknowledge and agree that S&C and any applicable licensor’s retention of contractual and intellectual property rights is essential to the Terms of Use. S&C and any licensor (as applicable) will own. You assign to S&C all rights in (a) any copy, translation, modification, adaptation, or derivative work of the Materials, Services, or Site, including any improvement or development thereof, whether provided as part of the Materials, Site or Services or otherwise, and (b) any suggestions, ideas, enhancement requests, feedback, or recommendations provided by or on behalf of you.
S&C grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Materials, Services, or Site for your personal use as expressly permitted by these Terms, all applicable intellectual property laws, and any Additional Terms. Any other use of the Materials, Services, or Site is strictly prohibited. You may not copy, republish, upload, post, transmit, distribute, or modify the Materials, Services, or Site without the prior written permission of S&C. You should not interpret any language on the Site as us granting you a license or right to use the content or third-party proprietary content without our express written permission or that of the relevant third-party owner.
Use of Software
Use of any Materials that constitute software is governed by the terms of the end-user license agreement that accompanies or is included with such software. You shall not download, install, or use any software that is accompanied by or includes an end-user license agreement unless you agree to the terms of such an agreement. You shall not use the software if you do not agree to such terms.
Use of Site Information
Except as otherwise indicated elsewhere on this Site, you may view, download, and print the documents and information available on this Site subject to the Terms of Use.
The rights specified above to view, download, and print the documents and information available on this Site are not applicable to the design or layout of this Site. Elements of this Site are protected by trade dress and other laws and may not be copied or imitated in whole or in part.
Prohibited Uses of the Materials, Services, and Site

- use, or attempt to use, the Materials, Services, or Site for improper, illegal, or unauthorized purposes;
- use any automated devices, such as spiders, robots, or data mining techniques to download, store or otherwise reproduce, store or distribute content or to manipulate the Materials, Services, or Site;
- access, tamper with, or use non-public areas of the Materials, Services, or Site, S&C’s computer systems, or the technical delivery systems of S&C’s affiliates;
- probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;
- forge any TCP/IP packet header or any part of the header information in any email, or in any way use the Materials, Services, or Site to send altered, deceptive, or false source-identifying information; or
- interfere with, or disrupt (or attempt to do so), the access of any user, host, or network, including, without limitation, sending viruses, overloading, flooding, spamming, mail-bombing the Materials, Services, or Site, or using the Services, or Sites in such a manner as to interfere with or create an undue burden on the Materials, Services, or Site.
Use and Protection of Account Number and Password
You are responsible for maintaining the confidentiality and security of your account number and/or password, if applicable. You are responsible for all uses of your account, whether you actually or expressly authorized it. You agree to (a) immediately notify S&C of any known or suspected unauthorized use of your account or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password, and (b) ensure that you exit from your account at the end of each session. S&C will not be liable for any injury, loss, or damage of any kind arising from or relating to your failure to comply with (a) and (b) or for any acts or omissions by you or someone else using your account.
Warranties and Disclaimers
Except as expressly provided otherwise in a written agreement between you and S&C, all Materials, Services, OR Site are provided “as is” and “as available” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability or fitness for a particular purpose, or the warranty of non-infringement. Without limiting the foregoing, S&C makes no warranty that (i) the Services, Materials, OR Site will meet your requirements, (ii) the Materials, SERVICES, OR the Site will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Services, Materials or the Site will be effective, accurate or reliable, (iv) the quality of any Services, Materials or the Site or any other products, services, or information purchased or obtained by you from the Site will meet your expectations, and (v) any errors in the Services, Materials or the Site will be corrected. Some states or jurisdictions do not allow the exclusion of implied warranties or limitations on how long an implied warranty may last, so the above limitations may not apply to you. To the extent permissible, any implied warranties are limited to ninety (90) days.

Prohibited Communications
You may only submit to the Site user content that (a) you owned, (b) submitted with the express permission of the owner, or (c) in the public domain. You are prohibited from posting or transmitting to or from this Site any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other materials that would violate any law or the rights of others, including, without limitation, laws against copyright infringement. Managing User Content and Communications
S&C reserves the right, in its sole discretion, to delete or remove your user content from the Site and to restrict, suspend, or terminate your access to all or part of this Site (including any Services and Materials) at any time for any reason without prior notice or liability.
S&C may establish general practices and limits on the use of any Service and Material, including but not limited to limits on retention time, file size, and storage space for user content.
S&C shall have no liability or responsibility for the deletion or failure to store any information or materials in connection with any Service.
S&C may, but is not obligated to, monitor or review (i) any areas on the Site where users transmit or post user content, including but not limited to areas where Services are available, or chat rooms, bulletin boards, or other user forums, and (ii) the substance of any user content.
To the maximum extent permitted by law, S&C will have no liability related to user content arising under copyright, libel, privacy, obscenity, or otherwise. S&C also disclaims all liability with respect to the misuse, loss, modification, or unavailability of any user content.
User Forums
In addition to the Terms of Use, users of the S&C User-to-User Forums must agree to a separate legal agreement located within the Forums Registration area of the Site. Access to the User-to-User Forums will be denied for violating the prohibitions set forth in this Terms of Use under the section entitled “Prohibited Communications.”
Export Control Laws; Notice to U.S. Government Users
The export and re-export of S&C software products are controlled by the United States Export Administration Regulations. Such software may not be exported or re-exported to Cuba, Iran, Iraq, Libya, North Korea, Sudan, Syria, or any country to which the United States embargoes goods. In addition, S&C software may not be distributed to persons on the Table of Denial Orders, the Entity List, or the List of Specially Designated Nationals.
By downloading an S&C software product you are certifying that you are not a national of Cuba, Iran, Iraq, Libya, North Korea, Sudan, Syria, or any country to which the United States embargoes goods and that you are not a person on the Table of Denial Orders, the Entity List, or the List of Specially Designated Nationals.
All S&C products and publications are commercial in nature. The software and documentation available on this Site are “Commercial Items,” as that term is defined at 48 C.F.R. 2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation,” as such terms are used in 48 C.F.R. 12.212 or 48 C.F.R. 227.7202, as applicable. Consistent with 48 C.F.R. 12.212 or 48 C.F.R. 227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are licensed to U.S. Government end users (A) only as Commercial Items and (B) with only those rights as are granted to all other end users pursuant to the terms and conditions herein.
Indemnity
You agree to indemnify, defend, and hold S&C and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of content you submit, post to or transmit through the Site (including, without limitation, any user content), your use of the Materials, Services, or Site, your connection to the Site, your violation of the Terms of Use, or your violation of any rights of another person or entity.
Governing Law and Jurisdiction
S&C controls this Site (excluding any linked website) from its offices within the state of Illinois, United States of America. By accessing or using the Materials, Services, or Site, you and S&C agree that all matters relating to your access to, or use of, Materials, Services, or Site shall be governed by the statutes and laws of the State of Illinois, without regard to the conflicts of laws principles thereof. You and S&C also agree to submit to the exclusive personal jurisdiction and venue of the Circuit Court of Cook County and the United States District Court for the Northern District of Illinois in Chicago, Illinois, for such matters. You waive all objections to exercising jurisdiction over you by such courts and to venue in such courts unless such waiver violates applicable law.
Notwithstanding the preceding paragraph, you agree that we may elect to require you to resolve by arbitration on an individual basis before National Arbitration and Mediation (“NAM”) any cause of action, legal claim, or dispute between you and us arising out of or related to the validly and enforceability of this agreement to arbitrate, or your access to, or use of, the Materials, Services, or Site ("claim"). NAM shall administer the arbitration under the most recent version of the appropriate rules, given the nature of the claim. The arbitrator shall not order that any party sit for a deposition in an arbitration in which a party is a consumer absent consent of both parties. The Federal Arbitration Act governs this arbitration agreement.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THE TERMS OF USE OR YOUR ACCESS TO, OR USE OF, MATERIALS, SERVICES, OR SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION OR CLAIM ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Governing Language
As this Website is in English, the English language shall control its interpretation. In the event of any conflict between the provisions of the English Website and the non-English language translation thereof, the terms of the English language version shall control.
Trademark Information
The trademarks, logos, and service marks (“Marks”) displayed on this Site are the property of S&C or other third parties. You are not permitted to use the Marks without the prior written consent of S&C or such third party that may own the Marks. S&C and the S&C logo are trademarks of S&C Electric Company.
Miscellaneous
Headings. The headings of the sections contained in the Terms of Use are for convenience only and shall not be deemed to control or affect the meaning or construction of any provision of the Terms of Use.
Entire Agreement. Except as provided in the Terms of Use or other terms incorporated by reference into the Terms of Use, the Terms of Use supersede all prior and contemporaneous proposals, statements, sales materials, presentations, or agreements, oral and written. No oral or written information or advice given by us, our agents, or our employees will create a warranty or in any way increase the scope of the warranties or obligations under the Terms of Use.
Assignment. You will not assign, delegate, or otherwise transfer the Terms of Use. Any attempt by you to assign, delegate, or transfer the Terms of Use will be null and void. We may assign, delegate, or otherwise transfer the Terms of Use, in whole or in part, without your consent. Subject to this section, the Terms of Use will be binding on each party and each party’s successors and assigns.
Severability. If any provision of the Terms of Use is held by a court or other tribunal of competent jurisdiction to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary to make it enforceable and, in any event, the rest of the Terms of Use will continue in full force and effect.
Waiver. No waiver by any party of any of the provisions hereof shall be effective unless explicitly set forth in writing and signed by the party so waiving.
Changes to the Materials, Services, or Site. S&C reserves the right, at any time and in S&C’s sole discretion, to amend, modify, suspend, or terminate the Materials, Services, and the Site, and any part thereof without notice to you. S&C shall have no liability to you or any other person or entity for any modification, suspension, termination, or loss of information.
